This is an excellent opportunity to become part of the Corporate Development team working on strategic acquisitions, divestitures and partnerships across the Aetna enterprise. Responsible for identifying, evaluating, negotiating and executing transactions involving the purchase, sale or combination of businesses for all of Aetnas business units globally.

The Senior Manager, Corporate Development will produce a variety of analyses (e.g., financial, market size estimates, competitor positioning, trends, portfolio analyses, etc.), and presentation materials related to several projects simultaneously. This person will also interact with cross-functional team members as required in support of initiatives.

Fundamental Components:

-Provide an objective, consistent, disciplined approach in evaluating potential purchases, divestitures or business combinations for Aetna and its business units

-Direct valuation analysis including financial analysis and modeling, development of fair values, acquisition and divestiture prices

-Actively participate in and supervise due diligence processes including developing process tactics, negotiating

transaction terms and providing transaction documentation

-Direct team members conducting financial and accounting analysis, i.e. development financial models, assessing financial trends and incorporating new incremental accounting concepts in the analysis

-Direct team members in the performance of valuation analysis, i.e. comparable company, precedent transaction and discounted cash flows analysis; develop valuation conclusions and present recommendations

-Direct team members in the development of comprehensive transaction impact analysis, i.e. return on invested capital, internal rate of return, net present value and accretion/ dilution analysis

-Work with Aetnas Corporate Finance Unit to develop short and long-term financing strategies for potential transactions as well as assess impact on financial leverage and credit ratings


-6 - 8 years of experience in investment banking, corporate development, private equity, or corporate finance advisory

-Recent involvement in successfully completed transactions

-Comprehensive understanding of M&A, deal structuring, due diligence, financial modeling, accounting and negotiations

-Experience managing transaction teams consisting of both internal and external


-Demonstrated commitment to excellence in due diligence, i.e. rigorous financial analysis and M&A process expertise

-Strong critical thinker who makes balanced, insightful decisions

-Fact-based problem solver with the ability to evaluate alternative courses of action and make sound management decisions

-Strong work ethic and demonstrated personal integrity with the ability to inspire trust and create an environment of constructive debate that encourages diverse opinion, yet supports management decisions

-Collaborative style, with the ability to establish working relationships across the Business Units, Strategic Planning

and other corporate functions as well as with external advisors and constituents
